(AOF) – In order to consolidate its financial position during the research phase of a strategic investor, Roctool announced the issue (with preferential subscription rights) of bonds redeemable in new shares or in cash (ORNAN 2021) of 1 , 29 million euros, of which 1.04 million euros (80%) guaranteed by 6 current shareholders including management. The shareholders of the specialist in heating and cooling mold technologies for plastics and composites will receive 1 DPS for each share held.
Each shareholder with 7 DPS can subscribe to 1 ORNAN 2021 at a unit price of 2 euros. 646,772 ORNAN 2021 will be issued.
The ORNAN 2021 will be issued on December 13, 2021 with a maturity date of May 31, 2023, except in the event of early redemption as provided for in the characteristics of the transaction. They will bear a capitalized annual interest rate of 5% and payable at maturity or upon early repayment. The ORNAN 2021 will not be the subject of a request for admission to trading.
